Please read these terms carefully before using WUDTR

Welcome to Wudtr.com ("Wudtr," "we," "us," "our"). These Terms of Use ("Terms") are a binding agreement between you and WUDTR LTD, a private limited company incorporated in England and Wales with Company Registration Number 16987248, with its registered office at International House, 109-111 Fulham Palace Road, London, W6 8JA, United Kingdom, together with its Brazilian affiliate BES SISTEMA DA INFORMACAO LTDA ME (CNPJ 14.139.107/0001-20), located in Brazil. Both entities are jointly responsible for the platform (collectively, "Wudtr," "we," "us," "our").

Using Wudtr in any way means you agree to all of these Terms, which remain in effect while you use our website, applications, and services (collectively, the "Services"). These Terms incorporate our Privacy Policy. If you don't agree, do not use Wudtr.
If you accept these Terms on behalf of an organization, you represent and warrant that you are authorized to bind that organization; references to "you" and "your" include that entity.
You must be at least 16 years old to use Wudtr.
When creating an account, you must provide accurate and current information, including a valid email address and mobile number.
You are responsible for all activity under your account and for safeguarding your credentials.
Your account includes the following options (controllable in Account → Privacy and at signup):
You can change or withdraw these choices at any time. Where required by law (e.g., LGPD/GDPR), we rely on your express consent before enabling contact sharing or marketing.
Wudtr provides a marketplace feature ("Marketplace") that enables creators ("Sellers") to list and sell digital products, including online courses, subscription-based content access, and other digital goods ("Digital Products"), to other users ("Buyers"). Payments are processed by our third-party payment provider, Stripe.
a) Wudtr's Role. Wudtr acts solely as the platform facilitating transactions between Sellers and Buyers. Wudtr is not the seller of any Digital Product and is not a party to the transaction between Seller and Buyer. Wudtr does not guarantee the quality, accuracy, completeness, or legality of any Digital Product listed on the Marketplace.
b) Seller Obligations. If you list Digital Products for sale, you agree to: (i) provide accurate and complete descriptions of your Digital Products; (ii) deliver the Digital Products as described; (iii) comply with all applicable laws, including consumer protection, tax, and intellectual property laws; (iv) set and honor your own refund policy, which must be clearly communicated to Buyers before purchase; (v) maintain a valid Stripe Connect account in good standing; and (vi) not list Digital Products that infringe third-party rights or violate these Terms.
c) Buyer Acknowledgments. If you purchase Digital Products, you acknowledge that: (i) your transaction is with the Seller, not with Wudtr; (ii) refund policies are set by each Seller individually — review them before purchasing; (iii) Wudtr does not warrant or endorse any Digital Product; and (iv) disputes regarding Digital Products should first be directed to the Seller.
d) Fees & Payments. Wudtr may charge Sellers a platform fee or commission on each sale, as disclosed in the Seller's account settings. All payment processing is handled by Stripe and is subject to Stripe's terms of service and applicable fees.
e) Intellectual Property. Sellers retain ownership of their Digital Products. By listing a Digital Product, Sellers grant Wudtr a limited license to display, promote, and distribute the Digital Product through the Marketplace as necessary to facilitate sales. Buyers receive a personal, non-transferable, non-exclusive license to access purchased Digital Products for their own use, unless otherwise specified by the Seller.
f) Prohibited Marketplace Content. In addition to the restrictions in the Acceptable Use section, Sellers may not list Digital Products that contain plagiarized or stolen content, misleading claims, malware, or content that violates applicable laws.
Wudtr enables following other users, joining campaigns, buying and selling digital products and courses through the Marketplace, and exchanging communications. You control if/what contact information is shared and whether you receive internal relay messages. Those you follow or campaign owners may contact you according to your preferences.
You retain ownership of content you submit ("User Content"). To operate and improve the Services, you grant Wudtr a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, display, and distribute User Content as reasonably necessary to provide the Services and display it where you choose to share it. This license ends when the content is deleted from our systems, subject to routine backups and to the extent content has been shared with others.

We may remove content or suspend/terminate accounts that violate these Terms. Violations of these prohibitions may also be reported to law enforcement authorities where appropriate.
The Services may integrate with or link to third-party services. Those services are governed by their own terms and privacy policies. Wudtr is not responsible for third-party content or practices.
YouTube API Services. Wudtr uses YouTube API Services to provide certain features (including connecting your YouTube channel, importing your videos, and embedding YouTube players). By using any part of the Services that accesses YouTube data or embeds YouTube content, you agree to be bound by the YouTube Terms of Service and acknowledge the Google Privacy Policy. You can revoke Wudtr's access to your Google/YouTube account at any time via the Google security settings page.
Wudtr (including trademarks, logos, software, and designs) is owned by us or our licensors and protected by intellectual property laws. These Terms do not grant you any IP rights except as needed to use the Services under these Terms.
If you submit feedback or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use them without restriction or attribution.
You may delete your account at any time. We may suspend or terminate your access immediately if you violate these Terms, present a security risk, or for other legitimate reasons. Upon termination, your profile will no longer be visible; some information may persist in backups or where legally required.
The Services are provided "as is" and "as available." We disclaim all warranties to the extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
To the maximum extent permitted by law, Wudtr and its affiliates, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability for all claims relating to the Services is limited to the greater of R$500 or the amounts you paid to us (if any) in the 12 months preceding the claim.
You will indemnify and hold Wudtr and its affiliates, officers, agents, and employees harmless from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, your User Content, or your violation of these Terms or applicable law.
We may modify or discontinue features and may update these Terms. If we make material changes, we'll notify you (e.g., by email or in-product notice). Your continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
These Terms are the entire agreement between you and Wudtr regarding the Services. If any provision is invalid, the remainder remains in effect. You may not assign these Terms without our prior consent; we may assign them. No waiver is effective unless in writing. There are no third-party beneficiaries.
